The American Egg Board (“AEB”) may revise and update these Terms and Conditions at any time and such revisions are binding on the Site users. Information regarding AEB’s services is subject to change without notice and all services may not be available in all geographic locations.

This Site is designed and intended for use by adults over the age of 18. There are certain sections designed to provide information for parents to review with their children, but such sections are not intended for use by children without parental supervision.

AEB will periodically revise the content, information, services, and resources that it provides on and through this website and reserves the right to make these changes without any obligation to inform or notify past, current, or prospective users of this website.

Permission is granted to electronically display and electronically copy and print hard copy portions of public areas of this Site, including your pledge, for your own non-commercial use. USER SUBMISSIONS

You can take the “Good Egg Project” Pledge. In addition, you can request information regarding eggs and submit information from time to time in response to requests or other features on the Site at aeb@aeb.org. AEB also welcomes your comments, suggestions, ideas or questions about the Site at aeb@aeb.org. You agree that any materials you submit may be used by AEB without limitation and grant AEB a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed without compensation.

You also agree that you will not upload or transmit any communications or content of any type that infringe or violate any rights of any party. By submitting communications or content to any part of this Site, you are representing and warranting to AEB that you have the right to submit such information. In the event you provide any personal information, by providing such information you agree that AEB may use such information in accordance with its privacy policy and as otherwise permitted by law. By submitting communications or content to any part of the Site, you agree to indemnify, defend and hold harmless AEB and its licensee, subsidiaries and affiliates from all damages, costs and expenses, including reasonable attorneys’ fees and costs arising out of all claims, challenges or actions related to the User’s submission, including, without limitation, claims for infringement of intellectual property rights, libel and defamation related to the User’s submission.

INDEMNITY

You agree to defend, indemnify, and hold AEB, its officers, directors, employees, agents, affiliates, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of these Terms and Conditions.

GENERAL

AEB is based in Park Ridge, Illinois in the United States of America. This Site is intended for use in the United States only. AEB makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the AEB Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

JURISDICTION

You expressly agree that exclusive jurisdiction for any dispute with AEB, or in any way relating to your use of the AEB Site, resides in the courts of the State of Illinois and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of Illinois in connection with any such dispute including any claim involving AEB or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers. These Terms and Conditions are governed by the internal substantive laws of the State of Illinois, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

COMPLETE AGREEMENT
